Please note: These tools have been fully developed, tested, and are successfully producing parts across dozens of hyperDENT-equipped machines, and the FOLLOW-ME! community has confirmed they yield excellent results. We rarely, if ever, hear of tool breakages when milling complex direct-to-MUA arches with angulated screw channels. If you encounter any difficulties using our tools with an alternative CAM software, we encourage you to reach back out! We’ll gladly help evaluate if your particular software is the issue - and whether it makes sense to consider hyperDENT as your CAM solution moving forward.

TOOL DIMENSION PROTECTION AGREEMENT
1. Electronic Acceptance
By clicking “I agree to the following terms & conditions”, checking the acceptance box, or otherwise indicating assent electronically, the Receiving Party acknowledges that it has read, understood, and agrees to be legally bound by this Agreement. The Receiving Party’s electronic acceptance shall have the same force and effect as a manually signed original. For purposes of this Agreement, “Tools” means the proprietary tool dimensional data and related technical information provided by the Disclosing Party. The Disclosing Party’s provision of the Tools following acceptance by the Receiving Party shall constitute its acceptance of this Agreement. The Parties agree that no physical signatures are required for this Agreement to be valid and enforceable. The date of electronic submission shall serve as the effective date of this Agreement.

This Tool Dimension Protection Agreement (the “Agreement”) is made by and between FOLLOW-ME! Technology North America (“Disclosing Party”) and the customer identified through submission of this form (“Receiving Party”). Each may be referred to herein individually as a “Party” and collectively as the “Parties.”
For the avoidance of doubt, the contact information provided at the time of submission shall serve to identify the Receiving Party for purposes of this Agreement.
2. Purpose
The Disclosing Party shall provide the Receiving Party with access to the Tools solely for the limited purpose of enabling implementation and integration within a computer-aided manufacturing (CAM) software platform other than that of the Disclosing Party, or for such other business purpose as may be expressly authorized in writing by the Disclosing Party.
3. Confidential Information
All dimensional data, measurements, specifications, tolerances, and design characteristics of the Tools, whether disclosed orally, in writing, electronically, or by demonstration, shall be deemed Confidential Information of the Disclosing Party. The Receiving Party acknowledges that the Tools constitute valuable trade secrets and proprietary information.
4. Restrictions on Use
The Receiving Party agrees:

Not to replicate, reverse engineer, reproduce, copy, or otherwise use the Tool Dimensions to design, manufacture, procure, or enable any tool or product serving the same or a substantially similar function as the Tools.

Not to disclose, distribute, transmit, or otherwise make the Tool Dimensions accessible to any third party without the prior written consent of the Disclosing Party.

To use the Tools and Tool Dimensions solely for the Purpose described in Section 2 and for no other purpose.
5. Ownership and Intellectual Property
All right, title, and interest in and to the Tools and Tool Dimensions, and any intellectual property rights therein, shall remain exclusively with the Disclosing Party. No license, assignment, or transfer of rights is granted or implied by this Agreement, except as expressly provided herein.
6. Term and Remedies
The obligations of confidentiality and non-use under this Agreement shall survive indefinitely with respect to the Tool Dimensions. The Receiving Party acknowledges that any breach of this Agreement may cause irreparable harm to the Disclosing Party for which monetary damages would be inadequate, and agrees that the Disclosing Party shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to its conflict of laws principles.
8. Entire Agreement
This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written. No amendment or modification shall be effective unless in writing and signed by both Parties or agreed to through valid electronic acceptance as described herein.
